RNIE in Mexico, Quarterly and Annual Filing Obligations.

The National Registry of Foreign Investment (RNIE) is a legal obligation for certain companies and individuals with foreign capital participation in Mexico.

Proper compliance is essential to prevent legal and administrative contingencies.


Entities required to file with the RNIE include, among others:

  • Mexican companies with foreign investment participation
  • Foreign individuals or legal entities carrying out registrable activities
  • Trusts involving foreign investment, in accordance with applicable regulations


One of the most relevant aspects is correctly identifying the applicable filing frequency, as not all entities are required to submit quarterly reports.


Quarterly filing

Quarterly filings apply when specific events provided by law and its regulations occur and exceed the threshold of MXN 20,000,000.00, including:

  • Changes to share capital
  • Modifications in foreign shareholders or partners participation
  • Capital contributions, capitalizations or reinvestment of profits
  • Acquisition or transfer of shares or equity interests
  • Loans, financing or accounts payable with foreign residents
  • Relevant changes in financial information attributable to foreign investment


Annual filing

Annual filings apply to entities that are not required to submit quarterly reports but are still obligated to report annual information to the RNIE.


Common mistakes

In practice, recurring errors often lead to contingencies, such as:

  • Filing reports after the deadline
  • Applying an incorrect filing frequency
  • Reporting incomplete or inconsistent financial information
  • Assuming that no filing is required when no changes occurred

 

Quarterly filings must be submitted within the first 10 business days of April, July, October and January, with respect to the immediately preceding quarter.

Correctly identifying the applicable filing frequency and complying in a timely manner is essential to avoid penalties and observations from the authority.
